Overview

 

What are the crucial steps to be taken and decisions to be made when forming or re-forming a Board? In this session, we will discuss critical success factors such as unique requirements in terms of diversity, independence, skills, culture and style. Our panel will provide differing perspectives on key issues like dealing with disruptive directors, length of service limitations, age limits and more. We will pay particular attention to issues including planning for succession, removing non-performing directors and the shared responsibility of working together as a team to forge the proper relationship with management.

Join our panel as they discuss:

  • Crucial steps and decisions in forming, re-forming and succession.
  • Factors to consider such as skills, management needs, culture and style. 
  • How diversity and independence provide risk mitigation as well as offer different perspectives. 
  • Issues such as lead director versus chairman and length of service.
  • Special scenarios including building a board to move from private to public, and rebuilding the board after a major disaster (restatement, fraud etc.) 
  • How to deal with disruptive directors.

Speaker Spotlight

 

Robin Abrams
Robin has over 30+ years of experience in building and developing high tech companies. This includes executive positions at Norwest Banks (now Wells Fargo) and Unisys, as well as Managing Director at Apple Asia where she led teams to open the China and India Markets for Apple Computer. She has also been CEO of several companies including VeriFone and Palm Computing. 
 
In the last decade, Robin has been a "hired gun" for investors and assigned to Chemdex (Kleiner Perkins), BlueKite (TPG), Connection to eBay (Accenture), and Firefly Mobile. She currently serves on several public company boards, including HCL Technologies, Sierra Wireless, FactSet Research and Lattice Semiconductor. 

Robin Heller

Robin S. Heller is the President and CEO of The Leadership Investment, a non-profit organization whose mission is to ignite and accelerate the shift to gender-balanced leadership.  Previously, Robin accomplished a distinguished 25+ year career leading global operations, technology, and large-scale integration, business process, customer experience and transformational teams for American Express, First Data, and Western Union. Robin held various progressive roles in the Finance, Operations, Client Services, and Sales & Marketing departments.  She led the separation and tax-free spin-off of Western Union from parent company, First Data Corporation in 2006 and joined the Western Union executive team as the Executive Vice President of Global Operations and Technology.  

In 2011, as the Chief Integration Officer and Executive Vice President, she moved to London to lead multiple global M&A diligence teams and cross-functional integration teams for Western Union’s $1.5+ billion investment of five notable acquisitions in Ireland, Italy, New York and London. Robin and her family returned to Denver (their home since 1993) in August 2013.


Wes Richards

Wes Richards is one of the founding Partners of Farsyte where he brings a unique combination of hands-on general management experience, years of experience interacting with top executives in the technology field and top academic training and experience in executive coaching. A graduate of Ohio Wesleyan University with a degree in Economics, Wes joined IBM where he took responsibility for all of their Channel operations in the central third of the U.S. He went on to hold key positions in sales, marketing and operations at Software Publishing Corporation and Ashton Tate before entering the world of executive search as a Partner with Heidrick & Struggle. There, he developed a list of clients that included Apple, Symantec, Google, Cisco and a number of top venture capital and private equity firms. As a member of the firm's Executive Committee and President of Leadership Services, he also focused on assessment and coaching for its global client base. 

Most recently, Wes was Vice Chairman and Managing Partner of the Technology, Media and Telecom Practice at CT Partners. As a member of the firm's Executive Committee, he helped manage the highest growth in the executive search industry in the last decade, leading to the firm's IPO in late 2010. Wes is also a graduate of the University of Texas at Dallas - School of Management in Organizational Behavior and Executive Coaching. He is a Certified Coach with the International Coaching Federation.


Moderator: Mark Jensen
Mark Jensen is an experienced board member and audit committee chair with over thirty years of transactional, operational and leadership experience including numerous IPOs, M&A transactions and corporate reorganizations. He currently serves on the boards of Lattice Semiconductor, ForeScout Technologies and Unwired Planet. As a Partner of global professional services firms Arthur Andersen LLP & Deloitte & Touche LLP, Mark provided audit and advisory services to a wide range of global organizations, including pre-IPO start-ups, venture capitalists and multinational public companies. His experience spans all sectors of the Technology Industry including hardware, software, semiconductor, telecommunication and internet companies.
